Terms of Service

Last Updated: March 4, 2026 These Terms of Service (“Terms”) govern your access to and use of the UltraClaw platform, products, and services (“Service”) operated by Neon Lobster LLC (“Company,” “we,” “us,” or “our”), a Wyoming limited liability company. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Agreement to Terms

By creating an account, subscribing to a plan, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

UltraClaw is a managed AI agent platform that provides subscribers with cloud-hosted AI agents (“Agents”). The Service includes:

• Cloud-hosted AI agents that run continuously on dedicated infrastructure
• Access to large language models from leading AI providers for natural language processing, analysis, and task completion
• Messaging integration allowing you to communicate with your Agent via iMessage, Telegram, WhatsApp, Discord, and web chat
• Persistent memory so your Agent remembers conversations, preferences, and instructions across sessions
• One-click integrations with third-party services including Google Workspace, Intuit QuickBooks, and GitHub
• Workspace files for customizing your Agent’s personality, behavior, and standing instructions
• Scheduled tasks including recurring messages, heartbeat checks, and cron-based automation

The specific features available to you depend on your subscription plan.

3. Eligibility

To use the Service, you must:

• Be at least 18 years of age
• Be a resident of the United States or have a valid US phone number for verification
• Have the legal capacity to enter into a binding agreement
• Not have been previously suspended or removed from the Service

4. Account Registration

To access the Service, you must create an account by providing a valid phone number and completing SMS verification. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account
• Maintain only one account per person

You are responsible for all activity that occurs under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

5. Subscription Plans and Billing

5.1 Plans

The Service is offered through the following subscription plans: Plan features, limitations, and availability are described on our website and may change from time to time. We will provide notice of material changes to plan features.

5.2 AI Token Credits

All plans include $15 per month in AI token credits, which are used to process messages and tasks through AI language models. Token usage varies based on message length, model selection, and task complexity. Additional token credits may be purchased at any time through the dashboard.

5.3 Billing

• Subscriptions are billed monthly on a recurring basis
• Billing begins on the date you subscribe and recurs on the same date each month
• All fees are quoted and charged in US dollars
• Payments are processed through our third-party payment processor
• You authorize us to charge your payment method on file for all applicable fees

5.4 Auto-Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel at any time through your dashboard.

5.5 Refunds

Subscription fees are generally non-refundable. If you cancel mid-cycle, you will retain access to the Service through the end of your current billing period. We may, at our sole discretion, issue refunds or credits on a case-by-case basis.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Generate, store, or transmit content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Send unsolicited messages (spam) or conduct mass outreach campaigns
• Attempt to circumvent safety filters, content policies, or usage restrictions imposed by the Service or underlying AI model providers
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity
• Interfere with or disrupt the Service, servers, or networks connected to the Service
• Reverse-engineer, decompile, or disassemble any aspect of the Service
• Use the Service to develop competing products or services
• Share your account credentials or allow others to access the Service through your account
• Use the Service for any purpose that could cause harm to minors
• Attempt to extract, scrape, or collect data from the Service beyond your own account data

We reserve the right to investigate and take action against any violations, including suspension or termination of your account.

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its software, design, features, documentation, branding, and all related intellectual property, is owned by Neon Lobster LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.

7.2 Your Content

You retain ownership of all content you provide to the Service, including messages, workspace files, and configurations (“Your Content”). By using the Service, you grant us a limited, non-exclusive license to process Your Content solely for the purpose of providing the Service to you.

7.3 Agent Output

Content generated by your Agent (“Output”) is provided for your use. You are responsible for reviewing and using Output appropriately. We make no guarantees regarding the accuracy, completeness, or fitness of Output for any particular purpose.

8. Third-Party Services

The Service integrates with third-party platforms and AI model providers, including but not limited to:

• AI Model Providers: Anthropic (Claude), OpenAI (GPT), and Google (Gemini)
• Business Integrations: Intuit QuickBooks, Google Workspace (Calendar, Gmail, Drive, Sheets, Docs, Slides, Contacts), and GitHub

Your use of third-party services through the Service is subject to those providers’ respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services. Integration features may change if third-party providers modify their APIs or terms.

9. Privacy

Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the practices described in the Privacy Policy.

10. Disclaimers and Limitation of Liability

10.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that:

• The Service will be uninterrupted, error-free, or secure
• Agent responses will be accurate, complete, or reliable
• The Service will meet your specific requirements
• Any defects in the Service will be corrected

AI-generated content may contain errors, inaccuracies, or biases. You are solely responsible for reviewing and verifying any information or output provided by your Agent before acting on it.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NEON LOBSTER LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF SUBSCRIPTION FEES PAID BY YOU TO US DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Termination

11.1 Termination by You

You may cancel your subscription at any time through your dashboard. Upon cancellation, you will retain access to the Service through the end of your current billing period.

11.2 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, abusive behavior, fraudulent activity, or non-payment.

11.3 Effect of Termination

Upon termination:

• Your right to access and use the Service ceases immediately (or at the end of your billing period, if you cancelled)
• We may delete your account data, including conversation history, workspace files, and Agent configurations, after a reasonable retention period
• Sections of these Terms that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, and governing law

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming.

13. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.
